Terms of Service

Entity: HousingComply LLC, a South Dakota limited liability company ("HousingComply," "we," "our," or "us")

By accessing or using www.housingcomply.com and related services ("Services"), you ("you" or "Customer") agree to these Terms. If you do not agree, you must not use the Services.

1. Scope of Services

HousingComply provides an AI-powered compliance automation platform designed to assist with Low-Income Housing Tax Credit (LIHTC), Public Facility Corporation (PFC), and Housing Finance Corporation (HFC) compliance audits. Services may include:

  • Document analysis, audit readiness tools, dashboards, and reports.
  • Access to supporting Documentation, APIs, integrations, and training materials.
  • Support and customer success assistance.

We reserve the right to modify, improve, or discontinue Services at our discretion.

2. AI Limitations & Advisory Nature

HousingComply uses artificial intelligence to analyze content and detect compliance issues. While our systems are designed for accuracy, AI-based analysis is inherently probabilistic and cannot be guaranteed to be 100% correct, error-free, or comprehensive.

  • Outputs are for informational and advisory purposes only.
  • Customers remain solely responsible for verifying results, exercising professional judgment, and ensuring compliance with applicable laws, regulations, and audit requirements.
  • HousingComply does not provide legal, accounting, or regulatory advice. Customers should consult qualified professionals before relying on results for compliance submissions.

3. Beta Features

We may provide early access or beta features ("Beta Services"). These are offered as-is, without warranties or guarantees, may be incomplete, and may be discontinued at any time.

4. Accounts & Registration

  • You must be at least 18 years old to use our Services.
  • To access certain functions, you must register an account with accurate and complete information.
  • You are responsible for all activity under your credentials. Notify us immediately of unauthorized use.
  • We may suspend or terminate accounts for violations.

5. Customer Content

  • Ownership: You retain ownership of all data, documents, and information you upload ("Input") and AI-generated output ("Output").
  • License: By using the Services, you grant HousingComply a limited license to process Input and Output as necessary to deliver, maintain, and improve the Services.
  • Responsibility: You are responsible for the legality, accuracy, and reliability of Input. You must not upload unlawful, infringing, or harmful content.

6. Acceptable Use

You agree not to:

  • Use the Services in violation of laws or third-party rights.
  • Attempt to reverse engineer, copy, or modify the Services.
  • Use the Services to train competing AI/compliance products.
  • Upload malicious software or data.
  • Resell or sublicense Services without authorization.

7. Availability & Maintenance

We strive for high uptime but do not guarantee uninterrupted access. Services may be unavailable due to scheduled maintenance, updates, or unforeseen outages. We are not liable for downtime, delays, or data loss caused by such events.

8. Intellectual Property

All intellectual property in the Services—including software, AI models, trademarks, and documentation—remains the exclusive property of HousingComply or its licensors. No rights are granted except those expressly outlined in these Terms.

9. Confidentiality

Both parties agree to protect each other's confidential information and use it only for legitimate purposes under these Terms. Exceptions include disclosures required by law or with prior written consent.

10. Payment Terms

  • Fees will be disclosed prior to purchase and are generally non-refundable.
  • Overages will be billed at the rate specified in your order, plus up to 20%.
  • Renewal fees may increase annually by 5% or the Consumer Price Index, whichever is greater.
  • You are responsible for taxes, bank fees, and late charges.
  • We may suspend Services for overdue payments.

11. Disclaimers

THE SERVICES, INCLUDING AI ANALYSIS AND BETA FEATURES, ARE PROVIDED "AS-IS" AND "AS-AVAILABLE".
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • Accuracy, reliability, or completeness of results.
  • Uptime, uninterrupted service, or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law:

  • HousingComply is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim shall not exceed the greater of (i) fees paid by you in the three months preceding the claim or (ii) $500.
  • Some jurisdictions do not allow exclusion of certain damages, so some limitations may not apply.

13. Indemnification

  • Our Indemnity: We will defend you against third-party claims alleging that the Services infringe intellectual property rights, provided you give prompt notice and cooperation.
  • Your Indemnity: You will indemnify and defend HousingComply against claims arising from your Input, misuse of Services, or breach of these Terms.

14. Data Protection & Privacy

Your use of the Services is also subject to our Privacy Policy [Insert Link]. By using the Services, you consent to the collection, storage, and processing of personal data in accordance with that policy.

15. Dispute Resolution

  • Governing Law: These Terms are governed by South Dakota law.
  • Informal Resolution: Parties agree to attempt negotiation first.
  • Arbitration: If unresolved, disputes shall be resolved by binding arbitration in Minnehaha County, South Dakota, under the rules of the American Arbitration Association.
  • Waivers: You waive jury trials and agree not to participate in class actions.

16. Export Control

You represent that you are not subject to U.S. trade sanctions and will not use the Services in violation of export control laws.

17. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, labor disputes, government actions, internet outages, or cyberattacks.

18. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or reorganization.

19. Survival

Sections on Intellectual Property, Confidentiality, Payment, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution survive termination.

20. Severability

If any provision is found invalid or unenforceable, the remainder of the Terms remains in effect.

21. Entire Agreement

These Terms constitute the full agreement between you and HousingComply and supersede all prior agreements or representations.
